Our Practice
Our experienced and multi-disciplinary life sciences group draws on our venture capital, securities, corporate, commercial and tax expertise to assist our life sciences clients with their strategies and agreements ranging from collaboration, research, material transfer, joint venture, distribution, manufacturing and licensing to public offerings, private placements, mergers and acquisitions and unique financing structures. 

Given the international scope of their businesses, our life sciences clients have also come to appreciate the value of our multi-jurisdictional practice and perspective. Also, our clients are actively developing breakthrough cures or innovative treatments for indications including: Alzheimer's Disease, cancer, diabetes, anemia, cerebral amyloid angiopathy, as well as medical technologies to assist in the fields of cardiovascular disease and orthopaedic surgery. Some offer drugs for urology, endocrinology and women's health, while others develop and sell diagnostic products throughout the world.

Our Work
Below is a sampling of some of our representative transactions:

• Davies acted for Decision Resources, Inc., one of the world’s leading research and advisory firms focusing on pharmaceutical and healthcare industry insight and analysis, in its acquisition of Millennium Research Group Inc., the global authority on medical technology market intelligence;

• Davies acted for MethylGene Inc., which entered into a Collaborative Research, Development and Commercialization Agreement for its histone deacetylase (HDAC) inhibitors with Pharmion Corporation in North America, Europe, the Middle East and certain other markets. This transaction is valued at up to US$272 million and is thought to be the largest early stage biotechnology pact in Canada;

• Davies acted for Patheon Inc., a leading independent provider of pharmaceutical manufacturing and development services, in its new North American credit facilities in the amount of US$290 million;

• Davies represented Genus, the world’s leading Bovine Genetics company, in Canada in the financing of its all cash acquisition of 63.2% of Sygen International valued at GBP187 million;

• Davies represented Neurochem Inc. in its $85 million cross-border NASDAQ initial public offering and additional offering on The Toronto Stock Exchange;

• Davies represented Adaltis Inc. in its $55 million initial public offering and the corporate reorganization of its Chinese holdings involving CITIC Pacific Ltd. and Power Technology Investment Corporation;

• Davies acted for Gemin X Biotechnologies Inc. in its US$65.2 million financing consisting of a US$50 million equity injection and US$15.2 million of debt.
