(Toronto, ON) September 2, 2008 - Effective August 8, 2008, Carol Hansell, partner with Davies Ward Phillips & Vineberg LLP, has been appointed Chair of the Corporate Governance Committee of the American Bar Association's Section of Business Law. Carol is the first non-U.S. lawyer to be appointed to this leadership position in the ABA and will serve a three-year term. Carol is currently engaged in a consultation process with many of the leaders in corporate governance to shape the agenda of the Committee for the next three years. She anticipates an increased focus on international considerations.
The Corporate Governance Committee is an important vehicle for the development of governance policy and practices. Its 2,000 members have been among the most influential lawyers in establishing governance standards in the United States. As Chair, Carol will provide leadership in the achievement of the Committee's objectives, which include legal education, publications, advancement of the law and the profession as well as the attraction and retention of members to the Section of Business Law.
Carol is an internationally recognized expert in corporate governance. She advises corporations and individuals both in Canada and abroad on governance and structuring issues relating to significant transactions, board investigations, strategy, succession planning, board structure and process and corporate organization. This position complements her transaction practice which extends over a variety of corporate mergers and acquisitions, financings and reorganization matters. Carol also teaches in the Directors Education Program jointly offered by the Institute of Corporate Directors and the Rotman School of Management.
