Richard Fridman is a partner practising in the areas of mergers and acquisitions, corporate finance and securities law.
Richard has a broad range of experience in all aspects of public M&A including strategic review processes, hostile take-over bids and negotiated merger transactions. He also represents clients in connection with public offerings of debt and equity securities (representing both issuers and underwriters), private placements, going private transactions and corporate reorganizations.
Richard’s legal and prior management consulting experience enables him to act as counsel and provide strategic and legal advice to management and directors of public corporations as well as to start-ups.
Before joining the firm, Richard worked as a management consultant at a leading international strategic consulting firm and carried out assignments in Canada, the United States and Europe. He also clerked with the Honourable Mr. Justice Charles D. Gonthier of the Supreme Court of Canada in 1998.
Representative Work
- Represented Khan Resources Inc. in connection with its public offering of 8,150,000 common shares for gross proceeds of $30,155,000.
- Acted for PetroKazakhstan Inc. in connection with its acquisition by CNPC International Ltd. for US$4.2 billion.
- Advised the Special Committee of Retirement REIT in connection with the strategic review process that resulted in its sale to the Canadian pension fund PSP Investment Board.
- Part of the team that represented Barrick Gold Corporation's in its successful US$10.2 billion acquisition of Placer Dome Inc. in January 2006 pursuant to an unsolicited takeover bid launched in October 2005.
- Advised the Special Committee of Creststreet Power & Income Fund in connection with its review of strategic alternatives and its sale to Florida-based FPL Energy.
- Represented Barrick Gold Corporation in connection with the offering by its wholly owned subsidiaries, Barrick North America Finance LLC and Barrick Gold Financeco LLC of $1.25 billion in debt securities under its base shelf prospectus.
- Advises Merrill Lynch Canada Finance Company on an ongoing basis with respect to its $5 billion medium-term note program.
